Association Bylaws

Article 1: Name of the Association [Naha Agricultural Association] was established in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia, and has an independent legal personality.

Article 2: Objectives of the Association The Association seeks to achieve the following objectives:

  1. Support environmental sustainability through agricultural projects and innovative green solutions.
  2. Spread environmental awareness among individuals and institutions.
  3. Cooperate with governmental and non-governmental agencies to achieve sustainable development.
  4. Develop programs and initiatives that contribute to the preservation of natural resources.
  5. Enhance community participation in environmental protection.

Article 3: Scope of work The Association operates within the Kingdom of Saudi Arabia, and implements its projects within the Kingdom and in any other regions as required by the Association’s objectives.

Article 4: Membership

Types of membership:

  • Active member: is the member who contributes positively to the activities organized by the Association.
  • Associate member: is the member who supports the Association financially or morally.

Membership conditions:

  • The candidate for membership must be able to participate in the activities organized by the Association.
  • To adhere to the regulations and policies approved by the Association.
  • Pay the annual subscription, if applicable.

Members’ Rights:

  • The right to participate in general assembly meetings.
  • The right to nominate and vote in the association’s elections.
  • Receive annual and financial reports.

Members’ Duties:

  • Adhere to the association’s regulations.
  • Contribute to the association’s activities and provide the necessary support.

Article 5: Organizational Structure of the Association

Board of Directors:

  • Consists of [10] members elected by the General Assembly for a period of [5] years.
  • The Board of Directors is responsible for making strategic and administrative decisions.
  • The Board appoints the President, Vice President and Secretary General.

Committees:

  • The association establishes specialized committees as needed, such as the Finance Committee, the Sustainable Environment Committee, and others.
  • The committees determine their objectives, powers and working mechanism according to needs.

Article 6: Meetings

General Assembly:

  • The General Assembly holds at least one annual meeting to discuss major matters related to the association.
  • Members are invited to attend the meeting [number] days before the specified date.
  • Decisions are taken in the General Assembly by voting.

Board of Directors:

  • The Board of Directors holds periodic meetings to direct the association’s work and make appropriate decisions.
  • Decisions are voted on within the board when needed.

Article 7: Financial Management

Funding:

  • The association relies on donations, grants, self-financing, or any other legitimate sources for its funding.
  • The funds are used to implement the objectives stipulated in these regulations.

Preparing financial reports:

  • The association prepares periodic financial reports showing how financial resources are used.

Article 8: Transparency and Control

Reports:

  • The association submits periodic reports on its financial and administrative activities to the General Assembly.

Auditing:

  • The association appoints an external auditor to review the financial activities and submit an annual report.

Article 9: Amendments to the regulations

Making amendments:

  • These regulations may be amended upon a proposal from the members or the Board of Directors.
  • The amendments are voted on in the General Assembly and are considered effective after approval.

Article 10: Dissolution of the association

Dissolution procedures:

  • In the event that the association decides to dissolve itself, the decision is taken in the General Assembly in accordance with the conditions specified in the regulations.
  • The association’s funds are liquidated in accordance with applicable laws, and must be allocated for similar environmental purposes.

Article 11: General Provisions
